TERMS AND CONDITIONS OF THE ONLINE STORE JAZON PAVING TOOLS

§ 1

General Provisions

  1. The online store JAZON Paving Tools, available at the internet address https://narzedzia.jazon.com.pl/, is operated by JAZON Sp. z o.o. with its registered office in Białystok, entered into the National Court Register by the District Court in Białystok, XII Commercial Division of the National Court Register under KRS number 000002455, with share capital of PLN 881,000.00, NIP 966 14 02 585, REGON 050851271.
  2. These Terms and Conditions are addressed both to Consumers and Entrepreneurs using the Store and set out the rules for using the online Store and the rules and procedure for concluding Sales Contracts with the Customer at a distance via the Store.
  3. Sales are conducted cross-border from Poland to the United Kingdom, including England, in accordance with applicable law.
  4. The user using the Online Store is obliged to comply with these Terms and Conditions.

 

§ 2

Definitions

  1. Consumer – a natural person concluding an agreement with the Seller within the Store, the subject of which is not directly related to their business or professional activity.
  2. Seller – JAZON Sp. z o.o. with its registered office in Białystok at ul. Wysockiego 164 A, postal code 15-167, entered into the National Court Register by the District Court in Białystok, XII Commercial Division of the National Court Register under KRS number 000002455, with share capital of PLN 881,000.00, NIP 966 14 02 585, REGON 050851271.
  3. Customer – any entity making purchases through the Store.
  4. Entrepreneur – a natural person, legal person, and organisational unit without legal personality, to which a separate act grants legal capacity, conducting business activity in its own name, as well as partners in a civil law partnership within the scope of their business activity.
  5. Store – the online store operated by the Seller at the internet address https://narzedzia.jazon.com.pl/en
  6. Distance Contract – a contract concluded with the Customer within an organised distance-selling system, without the simultaneous physical presence of the parties, with the exclusive use of one or more means of distance communication up to and including the moment of conclusion of the contract.
  7. Terms and Conditions – these Store Terms and Conditions.
  8. Order – a declaration of intent of the Customer submitted by means of the Order Form and aimed directly at concluding a Sales Contract for the Product or Products with the Seller.
  9. Account – the customer account in the Store, where the data provided by the Customer and information about the Orders placed by them in the Store are collected.
  10. Registration Form – a form available in the Store enabling the creation of an Account.
  11. Order Form – an interactive form available in the Store enabling placement of an Order, in particular by adding Products to the Basket and specifying the terms of the Sales Contract, including the method of delivery and payment.
  12. Basket – an element of the Store software in which the Products selected by the Customer for purchase are visible, and where it is also possible to establish and modify Order details, in particular the quantity of products.
  13. Product – a movable item/service available in the Store and being the subject of a Sales Contract between the Customer and the Seller. Product photographs are for illustrative purposes only. The colours of the goods may differ slightly from the real colours, depending for example on monitor settings.
  14. Sales Contract – a sales contract for the Product concluded or to be concluded between the Customer and the Seller via the online Store. Depending on the characteristics of the Product, a Sales Contract shall also mean a contract for services or a contract for specific work.

§ 4

Technical Requirements

In order to use the Store, including browsing the Store’s assortment and placing Orders for Products, the following are necessary:

a. an end device with access to the Internet,

b. an active e-mail account,

c. cookies enabled,

d. an updated web browser enabling the correct display of websites.

§ 5

General Information

  1. To the fullest extent permitted by law, the Seller shall not be liable for disruptions, including interruptions in the functioning of the Store, caused by force majeure, unlawful acts of third parties, or incompatibility of the online Store with the Customer’s technical infrastructure.
  2. Browsing the Store’s assortment does not require creating an Account. Orders for Products available in the Store’s assortment may be placed either after creating an Account in accordance with § 6 of these Terms and Conditions or by providing the personal and address data necessary to complete the Order without creating an Account.
  3. Prices displayed in the Store are stated in Polish zloty (PLN) or euro (EUR) and are gross prices, i.e. they include VAT where applicable.
  4. The final total amount payable by the Customer consists of the price for the Product and the delivery cost, including transport, delivery and postal service charges, of which the Customer is informed on the Store’s pages while placing the Order, including at the moment of expressing the will to be bound by the Sales Contract.
  5. Where the nature of the subject of the Contract does not reasonably allow the final total price to be calculated in advance, information on the manner in which the price will be calculated, as well as on transport, delivery, postal service charges and other costs, shall be provided in a separate e-mail.
  6. In the case of sales to the United Kingdom, import VAT, customs duties, customs clearance fees or other charges may apply depending on the value of the shipment, the nature of the goods and the delivery model. Unless the Seller expressly states otherwise before the Order is placed, such charges may be payable by the Customer. The UK consumer-distance-selling framework is set by the Consumer Contracts Regulations 2013, and statutory product remedies are governed by the Consumer Rights Act 2015.

§ 6

Creating an Account in the Store

  1. In order to create an Account in the Store, the Registration Form must be completed. The following data are required: first name and surname, correspondence address, delivery address, telephone number. In the case of a purchase made by a company, the company name and VAT/tax identification number must also be provided.
  2. Creating an Account in the Store is free of charge.
  3. Logging into the Account is performed by entering the login and password established in the Registration Form.
  4. The Customer may, at any time, without giving any reason and without incurring any fees on that account, delete the Account by sending an appropriate request to the Seller, in particular via e-mail or in writing to the addresses provided in § 3.

§ 7

Rules for Placing an Order

In order to place an Order, the Customer should:

  1. log into the Store (optional);
  2. select the Product which is the subject of the Order, and then click the “Add to basket” button;
  3. log in or use the option of placing the Order without registration;
  4. if the option of placing the Order without registration has been selected – complete the Order Form by entering the details of the recipient of the Order and the address to which the Product is to be delivered, select the type of shipment (method of delivery of the Product), and enter invoicing details if they are different from the recipient’s details;
  5. click the “Order and pay” button and, where such functionality is used in the Store, confirm the Order by clicking the link sent in the e-mail message;
  6. select one of the available payment methods and, depending on the payment method, pay for the Order within the specified period, subject to § 9 item 3;
  7. if the Customer wishes to receive a VAT invoice, they should provide the invoice details in the appropriate form. The VAT invoice will be sent to the e-mail address provided in the Order Form;
  8. the Seller shall review the placed Order in terms of the possibility of its fulfilment. In particular, the condition for confirmation of the Order is the availability of the Goods in stock.

§ 8

Offered Methods of Delivery and Payment

  1. The Customer may use the following methods of delivery or collection of the ordered Product:

a. courier shipment,

b. personal collection available at: ul. Wysockiego 164 A, 15-167 Białystok, Poland.

  1. The Customer may use the following payment methods:

a. payment on delivery,

b. payment by bank transfer to the Seller’s account,

c. electronic payments,

d. payment card.

§ 9

Performance of the Sales Contract

  1. The Sales Contract between the Customer and the Seller is concluded after the Customer has previously placed an Order by means of the Order Form in the online Store in accordance with § 7 of these Terms and Conditions.
  2. After the Order is placed, the Seller shall immediately confirm its receipt and at the same time accept the Order for fulfilment or inform the Customer of the impossibility of fulfilling it. Confirmation of receipt of the Order and its acceptance for fulfilment takes place by sending the Customer an appropriate e-mail message to the e-mail address provided during the placement of the Order, containing at least the Seller’s statements about receipt of the Order and its acceptance for fulfilment, as well as confirmation of the conclusion of the Sales Contract. Upon receipt by the Customer of the above e-mail message, the Sales Contract between the Customer and the Seller is concluded.
  3. In the event that the Customer chooses:

a. payment by bank transfer, electronic payment or payment card, the Customer is obliged to make payment within 5 calendar days from the date of conclusion of the Sales Contract – otherwise the order shall be cancelled;

b. cash on delivery payment upon receipt of the shipment, the Customer is obliged to make payment upon receipt of the shipment;

c. cash payment upon personal collection of the shipment, the Customer is obliged to make payment upon personal collection.

  1. If the Customer has chosen a delivery method other than personal collection, the Product shall be sent by the Seller within the period indicated in its description, subject to paragraph 5 of this section, in the manner chosen by the Customer when placing the Order.
  2. The beginning of the delivery period for the Product to the Customer shall be calculated as follows:

a. in the case of payment by bank transfer, electronic payment or payment card – from the date of crediting the Seller’s bank account.

  1. The delivery time for goods available in stock is 48 working hours from the moment the payment is credited.
  2. The Customer, when making a purchase in the online Store, automatically agrees to receive invoices in electronic form at the e-mail address provided in the Order Form. Electronic invoices are sent immediately after the Order is completed.
  3. If the Customer chooses personal collection of the Product, the Product shall be ready for collection by the Customer within the period indicated in the Product description. The Customer shall be additionally informed by the Seller that the Product is ready for collection by means of an appropriate e-mail sent to the e-mail address provided during the placement of the Order.
  4. In the case of ordering Products with different readiness dates for collection, the readiness date for collection shall be the longest given date.
  5. Delivery of the Product takes place within the United Kingdom.
  6. Delivery of the Product to the Customer is chargeable, unless the Sales Contract provides otherwise. Delivery costs of the Product, including transport, delivery and postal service charges, are indicated to the Customer on the online Store’s website in the “Delivery costs” section and during the placing of the Order, including at the moment of expressing the Customer’s will to be bound by the Sales Contract. For deliveries outside Poland, including deliveries to the United Kingdom, delivery costs are determined individually depending on the country of delivery and the applicable logistics company pricing. Information on such costs is provided by e-mail.
  7. Personal collection of the Product by the Customer is free of charge.

§ 10

Right to Withdraw from the Contract

  1. The Consumer may withdraw from the Sales Contract within 14 days without giving any reason.
  2. The period specified in paragraph 1 begins from the delivery of the Product to the Consumer or to a person indicated by them other than the carrier.
  3. In the case of a Contract which covers multiple Products delivered separately, in batches or in parts, the period specified in paragraph 1 runs from the delivery of the last item, batch or part.
  4. The Consumer may withdraw from the Contract by submitting a declaration of withdrawal to the Seller. To meet the withdrawal deadline, it is sufficient for the Consumer to send the declaration before the expiry of that period.
  5. The declaration may be sent by traditional post or electronically by sending the declaration to the Seller’s e-mail address – the Seller’s contact details are specified in § 3. The declaration may also be submitted using the form the template of which constitutes Appendix No. 1 to these Terms and Conditions; however, this is not obligatory.
  6. If the Consumer sends the declaration electronically, the Seller shall immediately send the Consumer confirmation of receipt of the declaration of withdrawal from the Contract to the e-mail address provided by the Consumer.
  7. Effects of withdrawal from the Contract:

a. in the case of withdrawal from a distance contract, the Contract shall be regarded as not concluded;

b. in the case of withdrawal from the Contract, the Seller shall refund to the Consumer immediately, and no later than within 14 days from the date of receipt of the returned goods, all payments made by the Consumer, including the costs of delivery of the goods, with the exception of additional costs resulting from the Consumer’s choice of a method of delivery other than the cheapest ordinary method of delivery offered by the Seller;

c. the Seller shall make the refund using the same methods of payment as were used by the Consumer in the original transaction, unless the Consumer has expressly agreed otherwise, which shall not involve any cost to the Consumer;

d. the Seller may withhold the refund until the Product has been received back or until proof of its return has been provided, whichever occurs first;

e. the Consumer should return the Product to the Seller’s address provided in these Terms and Conditions immediately, and no later than within 14 days from the day on which they informed the Seller of withdrawal from the Contract. The deadline shall be met if the Consumer sends back the Product before the expiry of the 14-day period;

f. the Consumer shall bear the direct costs of returning the Product, including the costs of returning the Product if, due to its nature, the Product could not normally be returned by post;

g. the Consumer is only liable for any diminished value of the Product resulting from use of it in a manner other than what was necessary to establish the nature, characteristics and functioning of the Product.

  1. The right to withdraw from a distance contract does not apply to the Consumer in relation to Contracts:

a. for the supply of goods made to the Consumer’s specifications or clearly personalised;

b. for the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons, if they become unsealed after delivery;

c. for the supply of goods which are liable to deteriorate or expire rapidly;

d. for services, if the Seller has fully performed the service with the express consent of the Consumer, who was informed before the performance began that after the Seller had fully performed the service, the Consumer would lose the right to withdraw from the Contract;

e. where the price or remuneration depends on fluctuations in the financial market over which the Seller has no control and which may occur before the end of the withdrawal period;

f. for the supply of goods which, after delivery, by their nature become inseparably mixed with other items.

  1. This section applies to Consumers in the United Kingdom in light of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, which provide the 14-day cancellation regime for most distance contracts.

§ 11

Complaints and Warranty

  1. The Sales Contract covers new Products.
  2. In the event of a defect in goods purchased from the Seller, the Customer has the right to make a complaint. In the case of Consumers in the United Kingdom, statutory rights relating to goods are governed in particular by the Consumer Rights Act 2015.
  3. Complaints should be submitted in writing or electronically to the Seller’s addresses provided in these Terms and Conditions.
  4. It is recommended that the complaint include, among other things, a brief description of the defect, the circumstances including the date on which it occurred, the details of the Customer submitting the complaint, and the Customer’s request in connection with the defect in the goods.
  5. Goods returned under the complaints procedure should be sent to the address provided in § 3 of these Terms and Conditions.
  6. If a warranty has been granted for the Product, information about it and its terms shall be included on the Store’s website in the “Downloads” section.
  7. The Seller shall consider the complaint within 14 working days from the date of its submission.

§ 12

Personal Data in the Online Store

  1. The controller of the personal data of Customers collected via the online Store is the Seller.
  2. Personal data of Customers collected by the controller via the online Store are collected for the purpose of performing the Sales Contract and, if the Customer consents thereto, also for marketing purposes.
  3. Recipients of personal data of Customers of the online Store may be:

a. in the case of a Customer who uses delivery by post or courier in the online Store, the Controller makes the collected personal data of the Customer available to the selected carrier or intermediary performing shipments on behalf of the Controller;

b. in the case of a Customer who uses electronic payments or payment card in the online Store, the Controller makes the collected personal data of the Customer available to the selected entity handling such payments in the online Store.

  1. The Customer has the right of access to the content of their data and to rectify it.
  2. Providing personal data is voluntary, although failure to provide the personal data indicated in these Terms and Conditions and necessary to conclude the Sales Contract results in the inability to conclude that contract.
  3. Detailed information is contained in the Privacy Policy document placed on the Store’s website. For UK-related processing, applicable data-protection compliance may include the UK GDPR and related UK data-protection legislation and guidance.

§ 13

Newsletter

  1. The Buyer may consent to subscribe to the Newsletter service. The Newsletter service consists of the periodic sending of the Seller’s newsletter and messages containing marketing content, including commercial information of the Seller, to the e-mail address provided.
  2. Subscription to the Newsletter takes place by selecting the appropriate option (checkbox) when placing the order.
  3. Subscription to the Newsletter is voluntary and free of charge. The Newsletter service is provided for an indefinite period, and the Buyer may unsubscribe from it at any time.
  4. The Buyer may unsubscribe from the Newsletter at any time by informing the Seller thereof.
  5. By subscribing to the newsletter, the Buyer consents to receiving commercial information from JAZON Sp. z o.o. with its registered office in Białystok, ul. Wysockiego 164 A (Data Controller). Consent may be withdrawn at any time. The data shall be processed until the consent is withdrawn.

The Controller processes data in accordance with the Privacy Policy. The Buyer has the right of access to data, rectification, erasure or restriction of processing, the right to object, the right to lodge a complaint with a supervisory authority or the right to data portability, where provided by law.

  1. If the Buyer is a natural person with limited legal capacity, the consent of the legal representative is required for the use of the Newsletter service. The Seller reserves the right to verify whether a person exercising parental authority or care over the child has given consent or approved it.

§ 14

Intellectual Property

  1. The entire content of the Store’s website is protected by copyright and constitutes the property of the Seller.
  2. Any use by anyone, without the Seller’s express written consent, of any element comprising the content of the Store constitutes an infringement of the Seller’s copyright and results in civil and criminal liability.

§ 15

Out-of-court Methods of Handling Complaints and Pursuing Claims

  1. Detailed information concerning the possibility of the Consumer using out-of-court methods of handling complaints and pursuing claims, as well as the rules of access to those procedures, may be available from the relevant UK consumer-protection bodies, Citizens Advice, Trading Standards services, and from the appropriate approved Alternative Dispute Resolution bodies where applicable.
  2. The Consumer has the following example possibilities of using out-of-court methods of handling complaints and pursuing claims:

a. the Consumer is entitled to apply to an appropriate approved Alternative Dispute Resolution body for the settlement of a dispute arising from the Contract concluded with the Seller;

b. the Consumer may obtain free assistance in resolving a dispute between the Consumer and the Seller by using support from relevant consumer advisory bodies operating in the United Kingdom.

  1. In the UK, the framework for consumer ADR is governed by the Alternative Dispute Resolution for Consumer Disputes (Competent Authorities and Information) Regulations 2015.

§ 16

Final Provisions

  1. Contracts concluded via the online Store are concluded in the English language.
  2. The Seller reserves the right to make changes to the Terms and Conditions for important reasons, namely: changes in legal regulations, changes in payment and delivery methods – to the extent that these changes affect the implementation of the provisions of these Terms and Conditions. The Seller shall inform the Customer about each change at least 7 days in advance.
  3. In matters not regulated in these Terms and Conditions, generally applicable provisions of Polish law shall apply, provided that a Consumer in the United Kingdom shall not be deprived of the protection granted under mandatory provisions applicable to consumer contracts in that jurisdiction.
  4. These Terms and Conditions shall enter into force on 25.10.2024.
